What you get on each plan, how billing and renewal work, how our engineering pipeline builds and reviews your software, and where the limits of our responsibility sit.
These Terms of Service (the "Terms") are a contract between Pyxeon ("Pyxeon", "we", "us") and the business that subscribes to or purchases our services ("you", "Customer"). By creating an account, subscribing to a plan, accepting a quote, or using the services, you agree to these Terms. If you are agreeing on behalf of a company, you represent that you are authorised to bind it.
Our Privacy Policy is incorporated into these Terms by reference.
Our services are sold to businesses for business use. They are not consumer services.
All prices are in US dollars and exclude any applicable sales or use tax, which we may add where required by law. There are no setup fees; implementation is included in every plan.

Every subscription plan includes hosting, maintenance, the customer portal, the in-app AI assistant, and full implementation of each Update — you describe what you want, we build and deploy it. Support response targets are 48 hours (Starter), 24 hours (Growth) and priority (Pro), on business days.
"Unlimited" Updates on the Pro plan means we do not cap the number of requests you may submit. It does not mean simultaneous or instantaneous delivery: requests are worked in a queue, and we may apply a reasonable rate limit if usage is materially inconsistent with normal single-business use.
Unused Updates do not roll over to the next billing period.
A One & Done build is a one-time, quote-based engagement priced between $1,000 and $5,000 depending on scope and complexity. Terms:
After a One & Done build, you may buy individual feature Updates at $249 each, with no subscription and no commitment. Subscribers do not need these; their plan already includes Updates.
We may change prices. A price change never affects a term you have already paid for. For monthly subscriptions we will give at least 30 days' notice by email before a change takes effect; for annual subscriptions the new price applies only from the next renewal, and only if we gave the renewal notice described in section 4.
Subscriptions are billed in advance through Stripe using the payment method you provide. You authorise us to charge that method for all fees due.
Monthly plans renew automatically each month on the anniversary of your start date, at the then-current price, until cancelled. Under New York law, month-to-month service terms are exempt from the advance written renewal notice described below.
Annual plans renew only after we give you written notice. New York General Obligations Law § 5-903 provides that an automatic renewal clause in a contract for service, maintenance or repair of personal property is unenforceable against the customer unless the provider serves written notice of the renewal, personally or by certified mail, not less than 15 and not more than 30 days before the renewal date.
We will serve that notice for every annual plan. If we fail to serve it, your annual term simply will not auto-renew and no renewal charge will be due.
The notice will state the renewal date, the renewal price, and how to cancel. You may cancel an annual plan at any time before the renewal date with no renewal charge.
If a charge fails we will retry and notify you. If payment remains outstanding, we may suspend the Services after notice, as described in section 15.
If a free trial is offered at signup, its length, whether a payment method is required, and what happens at the end of it will be stated at checkout before you are charged.
You can cancel at any time from the billing page in the customer portal, or by emailing support@pyxeon.com. What happens next:
Certain actions — such as provisioning a new Application — are blocked immediately on cancellation rather than after the grace period.
Refund requests go to support@pyxeon.com and are processed to the original payment method.
Your software is built and maintained partly by an automated coding agent. We want you to know that up front, because it is how we deliver custom software at these prices.
When you submit a request, it goes through this pipeline:
This pipeline reduces error rates; it does not eliminate them. Automated code generation can produce defects, and no amount of testing catches everything. If a released change breaks something, tell us and we will fix it as a priority at no additional charge — that remediation is included in your plan and is your primary remedy for a defective Update.
Building and reviewing your Application involves transmitting its source code, your feature request and test output to third-party model providers, as described in the Privacy Policy.
We will provide the Services with reasonable skill and care, and we will provide exactly what your plan describes — the number of Applications, the number of Updates, hosting, maintenance and the stated support response target. We do not offer a contractual uptime guarantee or service credits at these price points; if you need a formal SLA, ask us and we will quote one separately.
We may perform maintenance that briefly interrupts an Application. Where a planned interruption is material we will give advance notice.
Delivery timelines given for a request are estimates, not commitments, unless a signed statement of work says otherwise.
Except for the commitments expressly stated in section 8 and in your plan, the Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all other warranties, express, implied or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty arising from course of dealing or usage of trade.
We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that any AI-generated output will be accurate, complete or suitable for your purpose. Output produced by AI features in your Application is a draft for a human to review — it is not professional, legal, financial, medical or tax advice, and you remain responsible for decisions you make using it.
To the maximum extent permitted by law:
You are responsible for maintaining your own backups of Customer Data you cannot afford to lose, and for reviewing changes released to your production environment.
These allocations of risk are a fundamental basis of the bargain and are reflected in our pricing.
For 30 days after termination or expiry we will, on request, provide a complete export of your Customer Data in a standard machine-readable format (typically a database dump plus uploaded files) at no charge. After that 30-day window we may delete Customer Data, and it will age out of backups on the schedule in the Privacy Policy.
If you paid for a One & Done build, you receive the Application's source code at handover and keep it regardless of what happens afterward.
Yours. On full payment of the fees due for the work, you own the application-specific source code we write for your Application, and all Customer Data, branding and content you supply.
Ours. We retain all rights in the Pyxeon platform itself — the customer portal, the admin console, the Coding Agent and its pipeline, our templates, tooling, libraries and know-how — together with any generic improvements to them. Where our pre-existing or generic components are embedded in your Application, we grant you a perpetual, worldwide, royalty-free, non-exclusive licence to use, run, modify and host them as part of that Application.
Nothing here transfers rights in third-party open-source components, which remain under their own licences.
Publicity. We will not use your name, logo or a description of your project in our marketing without your prior written consent. You may withdraw that consent at any time and we will remove the material within a reasonable period.
You agree not to use the Services to:
You are responsible for everything done under your account. Keep credentials secure and tell us promptly at support@pyxeon.com if you suspect unauthorised access.
The Services depend on third-party providers, including Clerk, Stripe, Supabase, Cloudflare, DigitalOcean, Brevo, OpenRouter/Anthropic and Groq. Your use of an Application is also subject to those providers' terms where they apply directly to you. We are not responsible for a third-party provider's acts, omissions, outages or pricing changes, though we will use reasonable efforts to keep the Services running through them or to migrate to an alternative.
If you connect your own third-party accounts or repositories to an Application, you are responsible for the credentials you supply and for the permissions you grant.
By you. Cancel at any time as described in section 5.
By us for cause. We may suspend or terminate the Services if you materially breach these Terms — including non-payment or a violation of section 13 — and do not cure the breach within 10 days of written notice. We may suspend immediately and without notice where continued operation poses a security, legal or abuse risk, and we will tell you why as soon as practicable.
By us for convenience. We may discontinue the Services or decline to renew on 60 days' written notice, in which case we refund any prepaid fees covering the period after termination and cooperate with your migration during the export window.
Sections 6, 9, 10, 11, 12, 17 and any accrued payment obligations survive termination.
We may update these Terms. We change the "Last updated" date at the top of this page and, for any change that materially affects your rights or obligations, we give active customers at least 30 days' notice by email before it takes effect. If you do not accept a material change, cancel before it takes effect; continued use after that date means you accept it. A material change never applies retroactively to a term you have already paid for.
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
The parties submit to the exclusive jurisdiction of the state and federal courts located in Nassau County, New York, and waive any objection to venue or forum non conveniens in those courts.
Before filing, each party agrees to give the other written notice of the dispute at the contact address below and to attempt in good faith to resolve it for 30 days.
